Terms of Service
The terms that govern your use of the Paycape platform.
1. Agreement to Terms
By creating a Paycape account or using the Paycape platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Paycape on behalf of a business, you represent that you have authority to bind that business to these Terms.
These Terms constitute a legally binding agreement between you (or your business) and Paycape (a subsidiary of Tech Della Solutions Ltd), incorporated in Nigeria.
2. Services
Paycape provides cloud-based financial management tools including invoicing, payroll processing, expense management, tax tracking, cashflow analysis, client and vendor management, and related features (collectively, "Services").
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will not be liable to you for any modification, suspension, or discontinuance of Services.
Important: Paycape provides financial management tools, not financial advice. Tax calculations are based on publicly available FIRS regulations and should be reviewed by a qualified accountant for complex situations. Paycape is not liable for errors arising from incorrect or incomplete data you provide.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access at security@paycape.com.
You must provide accurate, complete, and current information when registering. You may not create accounts for others without their consent.
One workspace may have one Owner. Additional team members may be invited and granted roles as described in our documentation.
4. Fees and Payment
Paycape offers Free, Starter, Business, and Max subscription plans. Plan pricing is available at paycape.com/pricing.
Paid subscriptions are billed monthly or annually in advance. All fees are in Nigerian Naira (NGN) unless otherwise stated. Fees are non-refundable except as required by Nigerian Consumer Protection Law.
We will give at least 30 days notice before any price changes. Continued use after a price change takes effect constitutes acceptance of the new price.
We reserve the right to suspend or terminate your access for non-payment of fees after 14 days written notice.
5. Your Data
You retain ownership of all data you input into Paycape ("Your Data"). You grant Paycape a limited licence to process Your Data solely to provide the Services.
We will not use Your Data for any purpose other than providing the Services, improving service reliability, and complying with legal obligations. We will not sell Your Data or use it for advertising.
On termination of your account, you may request an export of Your Data. We will provide this within 30 days. After 90 days, Your Data is permanently deleted from our systems (except where we are required by law to retain financial records).
6. Acceptable Use
You agree not to use Paycape to:
- Process transactions or records relating to illegal activities
- Violate any applicable Nigerian or international laws
- Attempt to gain unauthorised access to any part of the platform
- Transmit malicious code, spam, or disruptive content
- Impersonate another person or entity
- Facilitate tax evasion or fraudulent financial reporting
- Reverse engineer, decompile, or attempt to extract the source code of Paycape
We reserve the right to suspend or terminate accounts that violate these terms without notice.
7. Intellectual Property
The Paycape platform, including its design, codebase, branding, and all content created by us, is owned by Tech Della Solutions Ltd and is protected by Nigerian and international intellectual property laws.
Nothing in these Terms grants you a right to use Paycape's name, trademarks, or branding without our written permission.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by Nigerian law.
Paycape does not warrant that: (a) the Services will be uninterrupted or error-free; (b) tax calculations will be correct for every scenario without professional review; (c) the Services will meet all your specific business requirements.
9. Limitation of Liability
To the maximum extent permitted by Nigerian law, Paycape's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to Paycape in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, or consequential damages, including loss of profits or data, even if we have been advised of the possibility of such damages.
10. Termination
You may terminate your account at any time from your account settings. Termination does not entitle you to a refund for any prepaid period.
We may terminate or suspend your account immediately for violations of these Terms, non-payment, or where required by law. We will give reasonable notice where possible.
11. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved by the courts of Lagos State, Nigeria, or through arbitration under the Arbitration and Conciliation Act (ACA) 2023 if both parties agree.
